Practice Areas
01
Capital Structure Review
A 60-day diagnostic of debt covenants, equity layering, and refinancing windows. Delivered as a signed memo with scenario matrices and lender-ready exhibits.
02
Leadership Transition Planning
Succession mapping for founder-led and family-held entities. Includes governance charter drafts, compensation benchmarking, and board-ready candidate briefs.
03
Portfolio Rationalization
Asset-by-asset review of hold/divest economics. We model disposition timing, tax-efficient exit sequencing, and reinvestment allocation with annotated worksheets.
04
Regulatory Positioning
Pre-filing strategy and comment-period coordination for entities operating across overlapping regulatory regimes. Annotated compliance calendars and agency correspondence drafts included.
05
Transaction Negotiation Support
Shadow advisory through LOI, diligence, and closing. We prepare counter-position memos, term-sheet redlines, and closing-condition checklists on a retained basis.
Method Notes
01
Intake & Scoping Call
A 45-minute privileged conversation to identify the core question, surface constraints, and agree on deliverable format. No slide decks. No proposals longer than two pages.
02
Analysis & Memo Drafting
Our team conducts independent analysis, interviews named principals as needed, and drafts the advisory memo with numbered findings, footnoted sources, and a recommendation page.
03
Signatory Review & Delivery
The lead partner signs the memo, walks the client through key exhibits, and remains available for a 30-day clarification window. All work products are archived for future reference.

FAQ
Questions before a higher-trust client reaches out
Keep the tone measured and plain. This should read like a real document, not promo copy.
Our memos are decision instruments: numbered findings, sourced exhibits, and a named signatory who stands behind the recommendation. They are designed to be read in a boardroom, not presented from a stage.
No. We bill flat or retained fees only. Our counsel is unconflicted by outcome economics.
A single-memo engagement runs 45 to 60 days from scoping call to signed delivery. Retained clients receive rolling work on a calendar agreed at onboarding.
Yes. Retained and Principal Counsel clients may request partner attendance at board sessions, lender meetings, or regulatory proceedings. Travel and preparation are billed at cost.
Every engagement begins with a mutual NDA. Work products are stored in encrypted archives with access limited to named parties. We do not publish case studies or reference clients without written consent.
